Small Scale Offerings. Section 708 of the Corporations Act 2001 (Cth) sets out the circumstances where capital raising does not require expensive disclosure documents. It is these provisions of the act which people refer colloquially to as the 20/12 rule. While a formal prospectus is not required for small scale offerings, care must still be taken to ensure no representation is made which may be misleading or deceptive.
